SEO Ginzos – Terms & Conditions (v3)

1. Overview

These Terms & Conditions (“Terms”) govern all services provided by SEO Ginzos (“Agency”, “we”, “us”, “our”) to the client (“Client”, “you”). By engaging our services, you agree to these Terms in full.

2. Scope of Services

SEO Ginzos provides search engine optimization (SEO), analytics, content development, technical consulting, and related digital services as defined in each service agreement, proposal, or subscription plan.

Specific deliverables, timelines, responsibilities, and success criteria will be outlined in the applicable agreement or plan documentation.

3. Technology Stack Requirements

All published pricing, service plans, and estimated timelines are based on the assumption that the Client’s website and digital ecosystem operate on a modern, standards-compliant technology stack capable of supporting current SEO best practices.

This includes, but is not limited to: supported content management systems (CMS), reasonable administrative or code-level access, compatibility with analytics and tracking tools, and absence of deprecated frameworks or restrictive proprietary customizations.

Where the Client’s environment includes legacy systems, technical debt, restricted access, or architectural limitations, additional effort, expanded scope, revised timelines, and associated fees will be required.

SEO Ginzos reserves the right to assess technical readiness and adjust scope, pricing, and delivery timelines accordingly.

4. Performance & Results Disclaimer

SEO is a long-term, iterative discipline subject to numerous external variables beyond the Agency’s control, including but not limited to search engine algorithm changes, competitor activity, and market conditions.

SEO Ginzos makes no guarantees regarding rankings, traffic increases, lead generation, or revenue outcomes.

Any projections, forecasts, or estimates are illustrative only and should not be interpreted as commitments.

5. Client Responsibilities & Access

The Client agrees to provide timely, complete, and ongoing access to all systems, platforms, and accounts reasonably required to perform services, including but not limited to CMS platforms, hosting environments, analytics tools, and third-party integrations.

The Client is responsible for implementing recommendations where implementation is not expressly included within the scope of services.

SEO Ginzos shall not be held responsible for performance limitations, delays, or outcomes negatively impacted by restricted access, incomplete visibility, or platform constraints.

Delays in approvals, content provision, implementation, or access will result in corresponding timeline adjustments.

6. Fees, Scope Changes & Payment Terms

All fees are defined in the applicable service agreement, proposal, or subscription plan and are based on the scope of work as understood at the time of engagement.

If the execution of any request requires effort, time, or resources beyond the originally defined scope, the Client will be notified promptly.

No additional work will be undertaken without documented written approval, such as a signed or acknowledged scope addendum outlining revised deliverables, timelines, and fees.

Approved scope changes may result in increased fees and extended timelines.

Unless otherwise specified, all payments are due in advance of the service period or according to agreed milestone schedules.

Failure to remit payment, including fees associated with approved scope changes, may result in suspension or termination of services.

7. Custom Work & Additional Services

Any work outside the defined scope of a selected plan or agreement, including but not limited to technical remediation, platform migration, custom development, or system integration, will be treated as custom work.

Such work will be separately scoped, quoted, and require explicit Client approval prior to execution.

8. Intellectual Property

All pre-existing intellectual property, tools, frameworks, and methodologies remain the property of their respective owners.

Upon full payment, the Client is granted a non-exclusive right to use deliverables specifically produced for them.

SEO Ginzos retains the right to reuse general methodologies, frameworks, and knowledge developed during engagements.

9. Term & Termination

Service engagements may include minimum commitment periods as defined in the applicable agreement.

Either party may terminate the engagement with written notice in accordance with agreed terms.

No refunds will be issued for services already rendered or work completed.

10. Limitation of Liability

To the fullest extent permitted by law, SEO Ginzos shall not be liable for any indirect, incidental, or consequential damages arising from the use of its services.

Total liability shall be limited to the amount paid by the Client to SEO Ginzos during the preceding three (3) months.

11. Acceptance of Terms

By engaging SEO Ginzos services, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
